1. About RPPNow

RPPNow ("we", "us", "the Platform") is a technology platform that enables event organisers ("Clubs") to promote events, manage promoters ("RPPs"), and sell event admission tickets to attendees ("Buyers"). RPPNow is operated in Hong Kong.

2. RPPNow as Limited Payments Agent

When you purchase a ticket through RPPNow, you acknowledge and agree that:

• RPPNow acts solely as a limited payments agentof the Club organising the event, to facilitate payment transactions on the Club's behalf using our third-party payment processor partners (including Stripe, Inc.). RPPNow is not the seller or supplier of any goods or services delivered at the event, including any food, beverages, or alcohol.
• The Club is the merchant of record and the contracting party for all goods and services provided at the venue. Your contract for those goods and services is with the Club, not with RPPNow. The Club must treat your payment to our payment processors the same as if you had paid the Club directly.
• Tickets sold through the Platform are for event admission only. Any alcohol, food, or other items referenced as part of a hospitality or F&B package constitute a contractual entitlement redeemable at the venue. The actual sale and supply of those items occurs at the venue, by the Club, under the Club's own licences and authorisations.
• RPPNow does not provide banking, deposit-taking, stored-value, insurance, or any other financial services. Any balance displayed in a Club or RPP account merely reflects funds collected on the Club's behalf by our payment processor partners and does not constitute a deposit or other obligation of RPPNow.
• As limited payments agent, RPPNow is authorised by the Club to: (a) hold, retain and pay out funds to the Club using our payment processor partners; (b) issue refunds to you in accordance with the Club's refund policy and these Terms; and (c) manage and dispute payment chargebacks. The Club remains ultimately responsible for refunds, chargebacks, and event delivery.

3. Alcohol, Licensing & Age Restrictions

The sale and supply of alcohol in Hong Kong is regulated under the Dutiable Commodities (Liquor) Regulations (Cap. 109B) and related legislation. RPPNow does not hold, and does not purport to hold, a liquor licence.

Clubs that list events on the Platform represent and warrant that they:

• Hold all required licences (including any liquor licence) for their venue and events;
• Are solely responsible for age verification of attendees in accordance with applicable law;
• Will not use the Platform to sell or represent the sale of alcohol directly to Buyers; and
• Indemnify RPPNow against any claim, fine, or liability arising from the Club's failure to comply with licensing obligations.

By purchasing a ticket, Buyers confirm they are aged 18 or over, or are attending an event that does not involve alcohol. Age verification at the venue is the sole responsibility of the Club.

4. Tickets, Refunds & Cancellations

All ticket sales are final unless the event is cancelled or materially changed by the Club. In the event of a cancellation, RPPNow will facilitate a refund to your original payment method on behalf of the Club. Processing may take 5–10 business days. RPPNow's platform service fee is non-refundable except where required by law.

RPPNow is not liable for any event cancellation, postponement, or change made by a Club.

5. RPP Promoters

RPPs are independent promoters who use the Platform to distribute event links and earn commission on referred ticket sales. RPPs are independent contractors, not employees or agents of RPPNow. RPPNow is not responsible for any representations made by RPPs to Buyers or third parties.

6. Acceptable Use

You must not use RPPNow to: violate any applicable law or regulation; misrepresent your identity; engage in fraudulent transactions; or list events that involve unlicensed alcohol sales or activities that are illegal under Hong Kong law.

7. Account Suspension & Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a legal or reputational risk to the Platform, at our sole discretion and without prior notice.

8. Limitation of Liability

To the fullest extent permitted by Hong Kong law, RPPNow's total liability to you in connection with any claim arising from your use of the Platform is limited to the amount of platform fees paid by you in the three months preceding the claim. RPPNow is not liable for indirect, consequential, or punitive damages.

9. Governing Law

These Terms are governed by the laws of Hong Kong. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

10. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
